Terms of Service

These terms govern use of Sutra, provided by AR Systems, trading as Tikkit Labs, a sole proprietorship registered in India. By using the service you agree to them.

The service

Sutra is a software platform that lets a brand and its resellers send and receive messages via Meta's WhatsApp Business Platform, manage contacts, run campaigns, and view reporting. We provide the software; Meta provides message delivery.

Accounts

You are responsible for the accuracy of your account details, for keeping credentials secure, and for all activity under your account. Notify us promptly of any unauthorised use.

Acceptable use

You may not use Sutra to send unsolicited messages, to message people who have not given consent where consent is required, or in breach of Meta's WhatsApp Business Messaging Policy and Commerce Policy. You may not use it for unlawful, fraudulent, deceptive or abusive purposes. We may suspend an account that puts our platform, other customers, or our WhatsApp Business Platform access at risk.

Your data and consent obligations

You represent that you have a lawful basis to message every contact you upload, and that you will honour opt-outs. You retain ownership of your data. We process it to provide the service, as described in our Privacy Policy.

Fees

Subscription fees, message charges and any setup fees are as agreed in your order form or invoice. Message charges levied by Meta are passed through and may change when Meta revises its rates. Fees are exclusive of GST unless stated otherwise. Invoices are payable within the term stated on them.

Third-party dependencies

Sutra depends on Meta's WhatsApp Business Platform. Message delivery, template approvals, phone number quality ratings and account status are determined by Meta under its own policies. We are not responsible for Meta's decisions, outages or policy changes, though we will work with you to resolve issues where we can.

Availability

We aim to keep the service available and will give reasonable notice of planned maintenance. Unless a separate service level agreement is in place, the service is provided on an "as available" basis.

Termination

Either party may terminate in line with the agreed term. On termination we will make your data available for export for a reasonable period, after which it may be deleted. Fees already due remain payable.

Liability

To the extent permitted by law, our total liability arising from the service is limited to the fees you paid us in the three months preceding the claim. We are not liable for indirect or consequential loss, including lost profits or lost business.

Changes

We may update these terms and will give notice of material changes. Continued use after a change takes effect constitutes acceptance.

Governing law

These terms are governed by the laws of India, and the courts at Bengaluru, Karnataka have exclusive jurisdiction.
